The Full Agreement (In Plain English)
1. PARTIES: This deal is between Seller Name (the "Seller") and Equity Zone Land Ownership Terms LLC (EZLOT LLC) or its assigns (the "Buyer").
This identifies who is buying and who is selling. We use our full legal name here, but we usually just go by our DBA: EZLOT because there aren't that many hours in a day! 😆 "Assigns" just means we can use the right branch of our company to hold the deed for the long term without starting over.
2. PROPERTY: Seller is selling a (Size: 0.00 SF) parcel of land with ID# STRAP/APN, located at Property Address.
This is the "Where and What." We pull the exact square footage and Parcel ID (STRAP) from the county records to make sure we are both talking about the exact same piece of dirt.
3. SELLER AMOUNT DUE: Buyer will pay Seller $00,000.00 in total at closing.
• Seller pays $0.00 in Realtor fees.
• Seller pays $0.00 in Closing costs.
• Seller pays $0.00 to record the Deed.
We literally write into our contract that you pay $0.00. This is our standard layout, but if you owe real estate commission to an agent representing you, just let us know! We can easily adjust these numbers on alternative terms to make sure everyone gets paid at the closing table. 👊
4. MONEY OWED DISCLOSURE: Seller herein discloses all known debts, taxes, liens... All disclosed amounts will be deducted from the initial offer.
We just need to know about any back taxes, IRS liens, or city mowing fines in advance so our closing team can handle them. When you open the contract, you'll see a clean checklist to log any property debts. We pay them off directly at closing so your title transfers completely clear—no hidden surprises!
5. SECURING THE AGREEMENT: Buyer may record a Memorandum of Agreement in public records as notice that the property is under contract...
This is like "putting a flag in the ground." It tells the county that we have an active deal so that no other buyers (or new debts) can interfere with our closing process while we work.
6. PROPERTY REVIEW & RIGHT TO CANCEL: Buyer has a period of 5 business days... to perform a full review of the property... Buyer may cancel this agreement for any reason.
This gives our team a few days to do a bit more homework. We check the legal records and the land to make sure everything is exactly as expected before we put all your cash in a duffel bag.
Just kidding. You'll get a business check or wire transfer, but the duffel bag sounds way cooler. 😎
7. OWNERSHIP & SELLER COOPERATION: The Seller warrants they have the full legal right to sell... and agrees to cooperate fully with the Buyer and title company.
This just means you confirm you are the true owner and are legally allowed to sell the dirt. Once you sign, we handle all the legwork with the title company—we just need you to be available when it's time to sign the final deed!
8. CLOSING & PAYMENT: Buyer will submit for closing within 48 hours of a signed agreement... Funding occurs as soon as title is confirmed clear.
Once you sign, our office moves fast. We get the paperwork to the title company within 48 hours so they can start the title search and clear the way for your wire transfer or check.
9. BINDING AGREEMENT: This contract remains in effect for both parties and their respective families or heirs.
This ensures the deal stays solid even if personal circumstances change in the future. It protects both our company and your family by keeping the terms locked in.
10. TAXES & RESPONSIBILITY: Seller is responsible for property taxes and utilities up until the day of closing... Buyer assumes responsibility after.
Standard stuff—you pay for the days you owned it, we pay for the days we own it. Our office handles the math and pays any prorated amounts out of the closing funds so you don't have to write a separate check.
11. RESOLVING DISAGREEMENTS: Parties agree to meet with a neutral mediator to talk it out before taking any legal action.
If we ever have a misunderstanding, we agree to talk like adults and use a mediator before involving lawyers. It saves everyone time, money, and stress. 🤝
